ToDoArc — Terms of Use

Effective date:
12 October 2026
Last updated:
12 October 2026

These Terms of Use ("Terms") are a legally binding agreement between you and Galaxyway AI Ltd regarding your use of ToDoArc. Please read them carefully alongside our Privacy Policy.

1. Who operates ToDoArc

ToDoArc ("ToDoArc", "we", "us" or "our") is operated by:

Galaxyway AI Ltd
Company number: 15966090
Registered address: Holly Hill Road, Erith, England, DA8 1QD, United Kingdom
Contact: [email protected]
Website: https://todoarc.com

2. What these Terms cover

These Terms apply to the ToDoArc website, its Android and iOS applications, the web application as and when available, and related account, cloud synchronisation, reminder, planning, support, trial and beta services (together, the "Service"). Features may differ by device, operating system, country, subscription or release version. A feature described here does not mean it is available in every version.

Additional terms disclosed at the point of purchase or when connecting an external provider may also apply. If a mandatory local law gives you greater protection than these Terms, that law prevails.

3. Acceptance and eligibility

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service. Users who cannot legally enter into an agreement must have authorisation from a parent or legal guardian where the law permits it.

ToDoArc is intended for persons aged 13 or over. It is not directed to children under 13. If we introduce family or child profiles, those features will be subject to further rules and safeguards. If you use the Service for a business or organisation, you confirm that you have authority to act for it; business-specific provisions below apply only to business use.

4. The Service and its limits

ToDoArc is a general-purpose productivity application for creating, organising, completing and planning tasks, dates, lists and reminders. Depending on your version, features may include offline storage, account sign-in, device synchronisation, calendar views, planning suggestions and later integrations, sharing or paid plans.

ToDoArc is not an emergency notification system, a guaranteed alarm service, a medical device, a professional case-management system or a regulated financial service. You are responsible for checking important deadlines independently. Do not rely exclusively on ToDoArc for medication, medical care, emergency response, court filings, tax payments, safety procedures or any other critical activity.

5. Guest mode and local-only data

Some versions let you use ToDoArc without signing in. Guest tasks and settings may remain only on the device. We may not have a copy and may be unable to restore them if the device is lost, damaged, reset, its application storage is cleared or the app is uninstalled.

Creating an account does not, by itself, guarantee that every guest item has uploaded. Where applicable, check the account and sync status and resolve any outstanding changes before removing the app, changing device or deleting local storage. We recommend keeping an independent copy of important information.

6. Accounts, email sign-in and security

To access cloud features, you may be required to create an account using a valid email address and a one-time code or secure sign-in link. You agree to provide accurate information, maintain access to your email address and secure your device and email account.

You must not share sign-in codes, access another person's account without permission or impersonate anyone. Tell us promptly at [email protected] if you suspect unauthorised access. We may require identity verification before taking sensitive account actions.

You are responsible for activity carried out through your account to the extent caused by your actions or failure to take reasonable precautions. This does not remove our responsibility where the law makes us responsible for a security failure.

7. Your tasks and other content

"User Content" includes task titles, notes, dates, times, reminders, project and list information, attachments (if supported), calendar-related data and other material you provide to the Service. You keep ownership of your User Content.

You give us a limited, non-exclusive licence to store, copy, transmit, format, back up, synchronise and display User Content only so far as reasonably necessary to operate the features you use, secure and support the Service, and meet legal obligations. This licence ends when the relevant content is deleted, subject to legitimate retention, backup and legal requirements described in our Privacy Policy.

You are responsible for the accuracy, legality and appropriateness of your content and for obtaining permission before adding or sharing information about other people. Do not upload content that you have no right to process or disclose.

8. Privacy and sensitive information

Our Privacy Policy explains how personal information is processed. ToDoArc is not designed as a password vault, clinical record system or secure repository for identity documents, payment-card information or highly confidential regulated records. Please minimise sensitive information in task titles and notes. If you use sharing features, check carefully what other users can see.

9. Tasks, reminders and notifications

You are responsible for entering and checking correct task details, dates, time zones, recurrence settings and notification permissions. Device notifications can be late, suppressed, duplicated or missed due to device settings, battery restrictions, connectivity, software defects, provider outages or other factors outside our control.

A reminder is an aid, not a guarantee of timely delivery. Keep alternative reminders for deadlines or events where failure could cause significant harm or loss. You may need to enable notification permission and adjust operating-system settings for reminders to work.

10. Offline use and cloud synchronisation

ToDoArc uses a local-first design where supported. Your changes may be saved locally before being sent to cloud systems. When offline or while a service is unavailable, cloud upload or cross-device updates can be delayed. If you edit the same task on multiple devices, the Service may detect a conflict, attempt a safe merge or ask you to review versions.

You should check sync messages such as "Changes waiting" or "Action needed". Do not assume an item exists on another device until its synchronisation has completed. We take reasonable measures to safeguard information but cannot promise that data loss, corruption or duplication will never occur.

11. Scheduling suggestions and future AI features

Planning, prioritisation, natural-language capture, suggested time blocks and any future AI-assisted functions are aids to productivity. Their results may contain errors, misinterpret instructions or omit relevant commitments. Review them before relying on them, especially where a proposed change affects a hard deadline or external calendar.

Where we provide automatic changes, their scope and available controls will be explained in the relevant feature. Nothing in ToDoArc amounts to medical, legal, financial or other regulated professional advice.

12. Third-party calendars and connected services

If you choose to connect a supported third-party calendar, account, store or other service, you authorise access within the permissions you grant. Third-party terms and privacy policies may apply. Connections can become unavailable or inaccurate when providers change their APIs, tokens expire or permissions are withdrawn.

We are not responsible for the independent operation of third-party services, though we remain responsible for our own obligations under applicable law. Before enabling edits to an external calendar, check the scope of the permission requested.

13. Shared lists, family spaces and collaboration

If collaboration features are made available, you may invite others into shared spaces. Members may be able to see or change information according to their permissions. Check invitations, roles and content before sharing; remove access when no longer needed.

We may provide activity records and recovery mechanisms but cannot promise that every collaborative change is reversible. Do not share another person's confidential information without a lawful reason and proper authorisation.

14. Acceptable use

You must not:

  1. Use the Service for unlawful, fraudulent, threatening, harassing or exploitative conduct.
  2. Access accounts, content, systems or private information without authorisation.
  3. Interfere with the Service through malware, denial-of-service activity, malicious automated requests or attempts to bypass limits.
  4. Probe or exploit security vulnerabilities without prior written authorisation or lawful entitlement.
  5. Upload infringing, defamatory, illegal or privacy-violating content.
  6. Use the Service to stalk, secretly monitor or intimidate another person.
  7. Misrepresent your identity or your authority to act for a person or organisation.
  8. Scrape, resell or exploit the Service commercially without permission, except as allowed by law or an applicable plan.
  9. Reverse-engineer or circumvent technical protections except where applicable law expressly allows it.
  10. Use the Service in a way that materially threatens other users, the infrastructure or our legal compliance.

Nothing in this section restricts lawful security research, permitted interoperability activities or rights that cannot legally be excluded.

15. Service changes and availability

We may improve, update or change the Service, introduce or remove features, and temporarily suspend access for maintenance, security or legal reasons. We will act reasonably, and where a material change adversely affects a paid service, we will provide any notice, refund or remedy required by law or the terms of your purchase.

We do not promise uninterrupted service, universal device compatibility or that every defect can be corrected immediately. Unsupported app versions may need updating to continue using remote services.

16. Beta, preview and testing versions

Some releases may be designated beta, preview or test versions. Such versions can be incomplete or unstable and may involve additional errors, feature changes or resets. Do not use an experimental version as your only record of an important commitment. Mandatory legal rights remain unaffected.

17. Free plans, purchases and subscriptions

ToDoArc may offer free functionality and, where made available, paid plans, in-app purchases or subscriptions. No subscription is created unless you explicitly complete a purchase. The available price, billing period, included features, taxes and renewal terms will be shown before purchase.

Subscriptions sold by Apple or Google are generally managed and cancelled through the corresponding app-store account; web purchases, if introduced, will have a separate disclosed cancellation process. Uninstalling the app does not automatically cancel an active subscription. Account deletion may also not automatically cancel an app-store subscription: check and cancel it with the store if necessary.

Any trial, renewal, cancellation, refund or cooling-off entitlement is governed by applicable law and the relevant purchase terms. Nothing in these Terms removes statutory consumer protections or refund rights.

18. Ownership of the Service

ToDoArc, its software, interface, logo, branding, documentation, graphics and original design are owned by or licensed to Galaxyway AI Ltd and protected by applicable intellectual-property law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purposes. You receive no ownership interest in our software or branding.

This does not affect your ownership of User Content or any rights granted by open-source licences applying to components of the Service.

19. Feedback

If you voluntarily send suggestions or feedback, you permit us to use them to improve ToDoArc without payment. Please do not submit confidential third-party information as feedback. We will handle any personal information in the feedback in accordance with our Privacy Policy.

20. Security, abuse and suspension

We may suspend or restrict accounts or particular functions where reasonably necessary to address suspected fraud, serious misuse, security threats, legal obligations or material breaches of these Terms. We may act without advance notice where delay would increase harm. Where appropriate and lawful, we will explain our decision and provide a way to contact us.

We will take proportionate steps and will not remove mandatory consumer or data-protection rights through a suspension.

21. Account deletion and ending use

You may stop using ToDoArc at any time. You may request account deletion from the applicable in-app settings, through https://todoarc.com/account-deletion, or by contacting [email protected]. We may verify identity to prevent unauthorised deletion.

Account deletion is distinct from app uninstallation and subscription cancellation. It generally results in removal of the account and associated cloud User Content, subject to lawful retention, technical backup processes and any shared-content implications explained at the time and in the Privacy Policy. Consider exporting important information before deletion.

22. Content and account recovery

We may provide tools to recover or review deleted or conflicting data, but availability and retention periods may be limited. You are encouraged to retain independent copies of information that is difficult or impossible to replace. We do not undertake to provide permanent storage, indefinite historical versions or an unlimited recovery service.

23. Important consumer rights and warranties

We will provide the Service with the care and skill required by applicable law. We do not exclude statutory requirements applicable to paid digital content or digital services, including rights under the Consumer Rights Act 2015 for UK consumers.

Except to the extent required by law or expressly stated in a paid plan, we do not guarantee uninterrupted operation, perfect accuracy of planning suggestions, error-free synchronisation or delivery of every reminder. These qualifications do not remove legal rights where a service or digital product fails to meet mandatory standards.

24. Liability for consumers

If you use ToDoArc as a consumer, we are responsible for foreseeable loss or damage caused by our breach of these Terms or our failure to use reasonable care and skill, subject to applicable law. We are not responsible for loss caused solely by incorrect data entered by you, your failure to act on a clearly presented warning, or events for which we are not legally responsible.

We do not exclude or limit liability for death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any other liability that cannot lawfully be excluded. Nothing in these Terms affects your statutory consumer rights.

25. Liability for business users

If you use the Service mainly for business, you are responsible for maintaining reasonable backups and business continuity arrangements appropriate to your operations. To the extent permitted by law, we will not be liable for indirect or consequential loss or for lost profit, revenue, business opportunity or anticipated savings.

For business claims only, and except for liability that cannot lawfully be limited, our aggregate contractual liability arising out of the Service will not exceed the greater of £100 or the amount your organisation paid us for ToDoArc during the 12 months before the event giving rise to the claim. This provision should be read subject to any separately negotiated business agreement and applicable law.

26. Events beyond reasonable control

Neither party is responsible for delay or failure to perform an obligation to the extent caused by an event beyond that party's reasonable control, except for obligations that cannot lawfully be excused. We will take reasonable steps to minimise disruption and keep users informed where appropriate.

27. Changes to these Terms

We may update these Terms when the Service, the law or our practices change. We will update the date at the top. Where changes materially affect your rights or obligations, we will give reasonable advance notice where required. If a change requires your agreement by law, we will seek it. You may stop using the Service if you do not accept a change, subject to any rights associated with a paid plan.

28. Applicable law and disputes

These Terms are governed by the laws of England and Wales, subject to mandatory consumer protections applicable in your place of residence. UK consumers may bring proceedings in any court with jurisdiction under applicable law. Business disputes, unless a separate agreement states otherwise, are subject to the courts of England and Wales.

If you have a concern, email [email protected] so we can attempt to resolve it.

29. General provisions

If a part of these Terms is unenforceable, the rest remains effective to the extent permitted by law. A delay in enforcing a right is not a waiver. We may transfer these Terms as part of a legitimate business reorganisation or sale where your mandatory rights remain protected. Headings are for convenience only.
